Terms of Service

1. Acceptance of Terms

By accessing or using the todo3ds website, marketplace, and related services (collectively, the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you may not use the Service. These Terms constitute a legally binding agreement between you and todo3ds.

2. User Accounts & Eligibility

You must be at least 18 years of age or the age of legal majority in your jurisdiction to create an account and use the Service. By creating an account, you represent and warrant that the information you provide is accurate, complete, and current. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use.

We reserve the right to suspend or terminate accounts that violate these Terms, provide false information, or engage in fraudulent activity.

3. The Marketplace

3.1 Buying

When you purchase a 3D model or digital asset on todo3ds, you receive a license to use the asset according to the license type selected by the seller (Standard or Extended). You do not acquire ownership of the intellectual property itself. All sales are final. Refunds may be issued at our sole discretion in cases of significant technical issues that render the asset unusable.

3.2 Selling

To sell on todo3ds, you must complete the seller onboarding process, including connecting a valid Stripe account. By listing a product, you represent and warrant that you own or have the necessary rights to sell the asset, that it does not infringe on any third-party intellectual property rights, and that it complies with our content guidelines. All products are subject to review before being published.

4. Intellectual Property & Licenses

4.1 Standard License

The Standard License grants the buyer the right to use the purchased asset in a single personal or commercial project. The asset may not be redistributed, resold, sublicensed, or shared in its original or substantially similar form. It may be used as part of a larger work (e.g., a game, film, or render).

4.2 Extended License

The Extended License grants the buyer the right to use the purchased asset in unlimited personal or commercial projects. The asset may be used in products for resale (e.g., templates, games sold on app stores) provided the asset itself is not the primary product being sold. Redistribution of the raw asset file is still prohibited.

4.3 Seller IP

Sellers retain all intellectual property rights to their assets. By listing a product on todo3ds, you grant us a non-exclusive, worldwide license to display, promote, and distribute the asset through our platform.

5. Payment Terms

All payments are processed through Stripe. Prices are listed in USD. Sellers receive 99% of the sale price, and todo3ds retains a 1% platform fee. Payouts to sellers are handled by Stripe according to the payout schedule configured in their Stripe account. Stripe may charge additional payment processing fees, which are the responsibility of the seller as set by Stripe's terms.

Sellers are solely responsible for any applicable taxes on their earnings. todo3ds does not withhold or remit taxes on behalf of sellers.

6. Prohibited Content

The following types of content are strictly prohibited on todo3ds:

• Content that infringes on third-party intellectual property rights
• Illegal, defamatory, threatening, or harassing content
• Sexually explicit or pornographic content
• Content promoting violence, hatred, or discrimination
• Malware, viruses, or any harmful code
• Assets generated entirely by AI without substantial original modification
• Content that violates any applicable law or regulation

We reserve the right to remove any content that violates these guidelines and to suspend or terminate the accounts of repeat offenders without prior notice.

7. Limitation of Liability

The Service is provided on an “as is” and “as available” basis without warranties of any kind, either express or implied. todo3ds does not warrant that the Service will be uninterrupted, secure, or error-free. To the fullest extent permitted by law, todo3ds shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of the Service.

Our total liability to you for any claims arising out of or related to the Service shall not exceed the amount you paid to todo3ds in the twelve (12) months preceding the claim.

8. Indemnification

You agree to indemnify, defend, and hold harmless todo3ds, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your infringement of any intellectual property or other right of any person or entity.

9. Termination

We may suspend or terminate your account and access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service will immediately cease. Sections that by their nature should survive termination (including, without limitation, intellectual property provisions, warranty disclaimers, indemnification, and limitations of liability) shall survive.

If you are a seller, any pending payouts at the time of termination will be processed according to Stripe's policies. We are not responsible for funds held by Stripe.

10. Dispute Resolution

Any disputes between buyers and sellers regarding product quality, licenses, or other transaction-related issues should first be resolved directly between the parties. If a resolution cannot be reached, either party may contact todo3ds at info@todo3ds.com for mediation assistance. Our decision in such matters is final but not legally binding on the parties.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which todo3ds operates, without regard to its conflict of law principles. Any legal proceedings arising out of or related to these Terms shall be brought exclusively in the courts of that jurisdiction.

12. Changes to These Terms

We reserve the right to modify these Terms at any time. When we make changes, we will update the “Last updated” date at the top of this page and, for material changes, may notify you via email or a prominent notice on the Service. Your continued use of the Service after any changes constitutes your acceptance of the revised Terms.
